Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SAYZO PLATFORMS PRIVATE LIMITED, U62099DL2026PTC462201, operator of SAYZO. By accessing or using SAYZO you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
"Platform" means sayzo.in, the SAYZO apps, and all related services and content.
"SAYZO, we or us" means SAYZO PLATFORMS PRIVATE LIMITED, the operator of the Platform.
"User, Task Giver, Task Doer" mean, respectively, any person using the Platform, a User who posts or pays for a Task, and a User who accepts or performs a Task.
"Task" means any task or service, online or offline, posted or accepted through the Platform; a "Task Contract" is the resulting contract, formed directly between Users, to which SAYZO is not a party.
"Content" means anything a User posts or transmits on the Platform.
"Payment Aggregator" means the RBI authorised payment aggregator that processes payments and operates the escrow facility in Clause 6.
Headings are for convenience. "Including" means without limitation. References to a statute include its rules and amendments.
2. Nature of the Platform and SAYZO's Role
2.1 SAYZO is a hyperlocal technology platform that lets Task Givers and Task Doers discover and connect with one another using location features and AI assisted matching, communicate, transact and rate one another. SAYZO is an intermediary under the Information Technology Act, 2000.
2.2 SAYZO does not provide, perform, supervise, control or guarantee any Task, and is not a party to any Task Contract. All Tasks are performed by Task Doers as independent contractors on their own account. Nothing here creates any employment, agency, partnership or joint venture between SAYZO and any User.
2.3 Matching, suggestions and search results are automated aids only. SAYZO does not endorse, vet or warrant any User, Task or outcome, except to the limited extent of verification in Clause 10.
3. Eligibility and Accounts
3.1 You must be at least 18 and competent to contract under the Indian Contract Act, 1872. You must register with accurate information, keep it current, keep your credentials confidential, and are responsible for all activity under your account. Notify us of any unauthorised use.
3.2 You must not use false information, impersonate anyone, hold multiple accounts without permission, or use the Platform for any unlawful or fraudulent purpose.
4. Posting Tasks, Matching and Communication
4.1 A Task Giver may post a Task; a Task Doer may accept it. When a Task is accepted on agreed terms, a Task Contract is formed directly between those Users. Users are solely responsible for evaluating the suitability, legality, safety and value of any Task, User or transaction, and for performing their obligations.
4.2 Use the Platform's messaging tools only for lawful, Task related purposes. SAYZO may, but need not, monitor communications for safety and fraud prevention. You must not circumvent the Platform to avoid Fees for connections made through SAYZO.
5. User Obligations and Conduct
5.1 Task Givers must describe Tasks accurately and lawfully, provide safe access and conditions on site, and pay agreed amounts and Fees. Task Doers must hold any license, qualification or insurance the law requires, perform with reasonable care and skill, and meet applicable safety, tax and regulatory requirements.
5.2 You must not use the Platform to:
- post, request or perform any Task that is unlawful, hazardous, fraudulent or that you are not qualified to undertake;
- post Content that is defamatory, obscene, harassing, hateful, infringing, deceptive, invasive of privacy, harmful to a child or otherwise unlawful;
- infringe any person's intellectual property, privacy or other rights, or impersonate any person;
- introduce malware, attempt unauthorised access, scrape or interfere with the Platform; or
- collect or misuse others' personal data, or act abusively, threateningly or in a way that endangers safety.
5.3 You are solely responsible for your Content and conduct and for all consequences of any Task you post, accept or perform.
6. Fees, Payments and Escrow
6.1 SAYZO charges Fees as notified on the Platform, plus applicable taxes including GST. Payments are processed through the Payment Aggregator.
6.2 Where escrow is offered, the Task Giver's payment is held by the Payment Aggregator in an escrow account operated under RBI requirements and released to the Task Doer on confirmation of completion or as provided in these Terms. SAYZO does not hold User funds in its own account.
6.3 SAYZO may deduct its Fees and any tax required to be collected at source, and may hold, reverse or refund amounts in cases of suspected fraud, chargeback, error or breach. Users are responsible for their own tax obligations, including income tax and any GST registration.
6.4 SAYZO processes payments through Razorpay as its payment aggregator. SAYZO may deduct its applicable service fees and any taxes required to be collected or withheld at source before processing payouts. SAYZO reserves the right to hold, reverse, or refund payments in cases of suspected fraud, chargebacks, payment errors, or breaches of these Terms. Refunds, where applicable, will be processed within 7 (seven) days, and payouts to service providers will generally be processed within 48 hours after successful completion of the transaction, subject to verification and applicable policies.
7. Cancellations, Refunds and User Disputes
7.1 Cancellation and refund terms are as notified on the Platform and as agreed in the Task Contract. Disputes over the performance, quality, payment or cancellation of a Task are between the Users; SAYZO is not responsible for resolving them but may, at its discretion and without obligation, assist, mediate informally, or determine escrow release based on available information.
7.2 Any escrow determination by SAYZO is administrative only, is not a finding of fault, and does not waive any User's rights against another User.
8. Ratings and Reviews
8.1 Reviews must be honest, based on genuine experience, and must not be defamatory, misleading, manipulated or incentivised. You grant SAYZO a non-exclusive, royalty free, worldwide, perpetual licence to host and display your reviews and ratings. SAYZO may remove violating reviews but need not monitor them.
9. Intellectual Property
9.1 The Platform and its software, design, trademarks and content are owned by or licensed to SAYZO. Except as permitted, you may not copy, modify, distribute or reverse engineer the Platform.
9.2 You retain ownership of your Content and grant SAYZO a non-exclusive, royalty free, worldwide licence to use, host, reproduce, adapt and display it to operate, promote and improve the Platform. You confirm you have the rights to grant this licence. Infringement notices may be sent to the Grievance Officer under Clause 16.
10. Verification and Safety
10.1 Any verification of Users by SAYZO is limited, for risk reduction only, and is not a guarantee or endorsement of identity, qualifications, conduct, or the safety or quality of any Task.
10.2 Users interact and transact, including for offline Tasks performed in person, at their own risk and must take their own precautions. SAYZO does not supervise Tasks and is not responsible for the acts or omissions of any User. Report unsafe, fraudulent or unlawful conduct to SAYZO and, where appropriate, to the authorities.
11. Intermediary Status and Takedown
11.1 SAYZO is an intermediary under the Information Technology Act, 2000 and observes due diligence under the Intermediary Guidelines and Digital Media Ethics Code Rules, 2021. It does not initiate, select the receiver of, or modify User Content, and is entitled to the protection under Section 79 of that Act. User Content is the responsibility of the User who provides it.
11.2 SAYZO may, without prior notice, remove Content or suspend accounts that it reasonably believes breach these Terms or the law, or on a valid order from a court or authorised agency. Content grievances may be sent to the Grievance Officer under Clause 16, who acts within the timelines prescribed by law.
12. Disclaimers
12.1 The Platform is provided "as is" and "as available". To the maximum extent permitted by law, SAYZO disclaims all warranties, express or implied, including merchantability, fitness for purpose, accuracy and non-infringement, and does not warrant that the Platform will be uninterrupted, secure or error free or that any match will result in a completed Task.
12.2 SAYZO is not responsible for the conduct, performance, quality, legality, safety or non-completion of any Task, or for any interaction between Users, whether online or offline.
13. Limitation of Liability
13.1 To the maximum extent permitted by law, SAYZO and its directors, officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising from the Platform or any Task, whether in contract, tort or otherwise.
13.2 To the maximum extent permitted by law, SAYZO's total aggregate liability arising from the Platform and these Terms shall not exceed the Fees actually received by SAYZO from you in the three (3) months before the event giving rise to the claim, or Rupees one thousand (INR 1,000), whichever is higher.
13.3 Nothing in these Terms excludes any liability that cannot be excluded under applicable law, including the Consumer Protection Act, 2019. The rights available to a consumer under applicable consumer protection law are not affected.
14. Indemnity
14.1 You will indemnify and hold harmless SAYZO and its directors, officers, employees and agents from any claim, loss, liability, cost or expense, including reasonable legal fees, arising from your use of the Platform, any Task you post, accept or perform, your Content, or your breach of these Terms, applicable law or any person's rights.
15. Suspension and Termination
15.1 You may close your account at any time. SAYZO may suspend or terminate access, with or without notice, for breach of these Terms or the law, where required by a competent authority, or to protect the Platform or Users from harm or fraud. Clauses 9, 12, 13, 14, 16, 17 and 18 survive termination, which does not affect accrued rights or payment obligations.

16.1 Under the Intermediary Guidelines and Digital Media Ethics Code Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, the Grievance Officer is:

16.2 The Grievance Officer acknowledges complaints within 48 hours and resolves them within the timelines prescribed by Consumer Protection (E-Commerce) Rules 2020, ordinarily within one month.
17. Governing Law, Disputes and Jurisdiction
17.1 These Terms are governed by the laws of India. Disputes shall first be attempted amicably, then, so far as permitted by law, referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Delhi, in English.
17.2 Clause 17.1 does not prevent a consumer from pursuing remedies before the consumer disputes redressal commissions under the Consumer Protection Act, 2019; consumer disputes are not subject to mandatory arbitration. Subject to this, the courts at New Delhi have exclusive jurisdiction, and a consumer may also approach the fora at the consumer's place of residence as permitted by law.
18. General
18.1 Amendments. SAYZO may amend these Terms; material changes are notified on the Platform and take effect on the stated date. Continued use is acceptance.
18.2 Privacy, force majeure, assignment. Personal data is handled under the Privacy Policy, which forms part of these Terms. SAYZO is not liable for failures beyond its reasonable control. You may not assign your rights without consent; SAYZO may assign to an affiliate or successor.
18.3 Severability, waiver, entire agreement, notices. If any provision is invalid, the rest continue. No failure to enforce is a waiver. These Terms with the Privacy Policy are the entire agreement and supersede prior understandings. Notices to you may be given through the Platform or your registered details; notices to SAYZO go to the Grievance Officer's address.
By using SAYZO, you acknowledge that you have read, understood and agree to these Terms of Service.
